LICENSING

AGREEMENT

It's important that you read and understand the terms and conditions below before you buy to make sure that you're using your purchase within the legal parameters of the licensing agreement. If--once you've read the terms fully--a serious doubt remains, please contact us so we can clarify the issue with you. 1. By purchasing any product ["Asset"] from Kal-Chi Epics, all being Intellectual Property of Mr. Daniel Pearson ["the Licensor"], the buyer of said product ["the Licensee" and "Original Purchaser"] agrees that they have read and understood these terms and conditions and are entering into a Licensing Agreement with the Licensor.

2. The Licensing Agreement solely affects the particular Asset purchased by the Licensee. All rights over other Intellectual Properties of the Licensor are reserved.

3a. The Licensing Agreement will only come into full effect once the Licensee has registered the purchased Asset and the Licensor has verified said registration. Until such time the Licensor reserves all rights over the Asset, including all elements of the Asset. Only Registered Licensees may make use of this Licensing Agreement.

 

3b. The Licensor agrees to provide clear, easy registration details to the Licensee upon purchase.

4. At the moment of registration, the title of "Licensee" can be transferred from the Original Purchaser to one other party (for example as a gift, or if the intended Licensee requests a third party to purchase on their behalf). Beyond this juncture, the license becomes completely non-transferable.

5. The Licensor grants a non-exclusive, non-transferable, indefinite term license for the use of the Asset in publishable media to the Registered Licensee, subject to the limitations of these terms and conditions.

6. For a media production to qualify for use of this license, the Registered Licensee must hold a major credit in the production (e.g. director, producer, editor, sound editor, host). In any case of uncertainty, the Licensor requests consultation for clarification.

6b. This licensing is designed to aid productions with limited resources. For this reason, solely independent media productions may qualify for the license. Interested parties from major studios should contact Kal-Chi for a separate license.

7a. All Intellectual Property Rights over and in respect of the Asset are owned by Licensor. The Licensee does not acquire any rights of ownership in the Asset.

7b. Any published media using whole or part of the Asset must credit Kal-Chi Epics, in the manner specified in the Asset's documentation. Any Partial Asset use, however slight, must be credited. This includes edits, single stems and small sound-clips.

7c. The Licensee may edit, remix and alter the Asset at liberty, but all usage must be credited, pursuant to clause 7b.

​

7d. Online media using the Asset must link back to the Kal-Chi webpage, with a clearly visible link.

​

8. The Licensee will not distribute, sell, license or sub-license, let, trade or expose for sale the Asset to a third party.

​

9a. The Licensor relinquishes all claim to remuneration beyond the original purchase of the Asset, within the limitations of this license. However, if the terms of this licence are not met by the Licensee, the Licensor reserves the right to pursue fair renumeration and, where appropriate, damages for misuse of Intellectual Property.

9b. The Licensee agrees to pay fair remuneration should the Licensee fail to meet the terms of the license.

​

9c. The Licensee agrees to pay fair damages for any misuse of the Licensor's Intellectual Property.
